1. Acceptance of Terms

By accessing or using Wivibo’s website, app, or services (collectively, the “Service”), you agree to these Terms of Use (“Terms”). If you do not agree, do not use the Service. Wivibo is a product of RAE Intelligence LLC, doing business as “Sail AI” (“Sail AI,” “we,” “us,” or “our”).

2. Beta and Availability Notice

The Service is in beta. Features may change or be discontinued at any time. The Service may be unavailable, buggy, or incomplete. Do not rely on the Service for time‑critical or safety‑critical decisions.

Regional availability: The Service will first be available in the Dallas–Fort Worth (DFW) metro area, Texas (September 2025), with planned expansion to additional Texas metros in October/November 2025 and to select U.S. cities thereafter. Access and feature availability may vary by region.

3. Who May Use the Service

You must be at least 13 years old. If you are between 13 and 18 (or the age of majority where you live), you may use the Service only with consent of a parent or guardian.

4. Accounts

Some features may be available without creating an account; others may require registration. You are responsible for maintaining the confidentiality of your login credentials and for activity under your account.

5. Acceptable Use

You agree not to: (a) use the Service for unlawful, infringing, or harmful purposes; (b) attempt to access non‑public features; (c) scrape or copy content except as permitted; (d) upload malware or attempt to disrupt the Service; (e) reverse engineer or circumvent security; (f) submit unlawful, misleading, or abusive content.

6. User Content

You may submit content (e.g., reviews, photos, check‑ins) (“User Content”). You retain your rights to your User Content, and grant Sail AI a non‑exclusive, worldwide, royalty‑free license to use, host, display, reproduce, modify, and distribute your User Content to operate and improve the Service. You represent you have all rights necessary to grant this license and that your User Content complies with law and these Terms. We may remove or moderate User Content at our discretion.

7. Third‑Party Services

The Service may display information or links from third parties (e.g., maps, reservation links, delivery or ride‑share integrations). We do not control and are not responsible for third‑party sites, services, or their accuracy, policies, or practices.

8. AI‑Generated Recommendations

Recommendations and summaries may be produced by artificial intelligence and third‑party data. They can be incomplete or inaccurate and are provided for informational purposes only. Always verify details (e.g., hours, availability, safety) before visiting any venue.

9. Ownership

The Service and all related content, logos, and software are owned by Sail AI or its licensors and are protected by intellectual property laws. Except as expressly allowed, you may not copy, modify, distribute, or create derivative works from the Service.

10. Feedback

If you send ideas or suggestions, you grant Sail AI a perpetual, irrevocable, worldwide, royalty‑free license to use them without restriction or compensation.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR‑FREE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAIL AI AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

WITHOUT LIMITING THE FOREGOING, AND TO THE FULLEST EXTENT PERMITTED BY LAW, SAIL AI IS NOT RESPONSIBLE FOR ANY PERSONAL INJURY, ILLNESS (INCLUDING FOOD-BORNE ILLNESS), ALLERGIC REACTION, OR OTHER HARM ARISING FROM THE ACTS, OMISSIONS, PRODUCTS, OR SERVICES OF RESTAURANTS, VENUES, DELIVERY PROVIDERS, OR OTHER THIRD PARTIES LISTED ON OR LINKED THROUGH THE SERVICE.

IN ALL CASES, OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY AND EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR FRAUD, INTENTIONAL MISCONDUCT, GROSS NEGLIGENCE, OR TO THE EXTENT SUCH LIABILITY CANNOT BE LIMITED BY LAW. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH CASES, THE ABOVE LIMITATIONS SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.

13. Indemnity

You agree to defend, indemnify, and hold harmless Sail AI and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Service or your violation of these Terms.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason or no reason. Upon termination, sections intended to survive (including ownership, disclaimers, and limitation of liability) will continue to apply.

15. Governing Law

These Terms are governed by U.S. federal law and the laws of the State of Delaware, without regard to conflict of laws rules.

16. Changes

We may update these Terms from time to time. The “Effective date” above shows when the Terms were last updated. If changes are material, we will provide reasonable notice. Your continued use after changes means you accept the updated Terms.
